What You Will Learn

As a result of 2010?s Dodd-Frank Act, the SEC must issue rules requiring companies to report whether or not they or their suppliers obtain certain metals (tin, tantalum, tungsten and gold) from the Democratic Republic of the Congo and nine neighboring countries. Proceeds from mining the metals ores, called ?conflict minerals,? are allegedly used by African warlords to fund human rights abuses against civilians in their countries.

Activists seeking to alleviate the human rights crisis in the Congo and surrounding countries exerted strong pressure on the SEC to write tough due diligence and disclosure rules. Similarly, companies who will be burdened with the new requirements have informed the SEC that the requirements as proposed will be difficult and expensive to implement.

The SEC?s proposed changes to the annual reporting requirements for issuers that file reports pursuant to Sections 13(a) or 15(d) of the Securities Exchange Act of 1934 (to implement Section 1502 of the Dodd-Frank Wall Street Reform and Consumer Protection Act) become final soon.
